1. Description of Service

Bookyn is an AI-powered Instagram DM automation platform designed to help coaches and service providers manage lead conversations, qualify prospects, and book sales consultations via Instagram Direct Messages. By accessing or using Bookyn, you agree to be bound by these Terms of Service.

2. Eligibility

You must be at least 18 years old and have a valid Instagram Business or Creator account to use Bookyn. By using the Service, you represent and warrant that you meet these requirements and have the legal capacity to enter into this agreement.

3. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at hello@bookyn.co of any unauthorised use of your account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Integration with Third-Party Services

Bookyn integrates with Meta's Instagram API, Anthropic's Claude AI, calendar platforms (Calendly, Google Calendar), and GoHighLevel (GHL). Your use of these integrations is also subject to the respective third-party terms of service and privacy policies. We are not responsible for the actions or policies of these third parties. In particular, our use of Instagram's API is subject to Meta's Platform Terms and Developer Policies.

5. Data Processing and Use

By using Bookyn, you authorise us to access, process, and store Instagram Direct Messages and related conversation data on your behalf for the purpose of providing the Service. This includes using conversation data to generate AI-drafted responses, qualify leads, and facilitate bookings. We handle this data in accordance with our Privacy Policy. You retain ownership of your conversation data and may request deletion at any time.

6. User Responsibilities and Acceptable Use

You agree to use Bookyn only for lawful business purposes and in compliance with Instagram's Community Guidelines, Meta's Platform Policies, and all applicable laws. You must not use Bookyn to send spam, unsolicited messages, or misleading content. You are responsible for ensuring your use of AI-generated messages complies with applicable consumer protection and marketing laws in your jurisdiction. You must not attempt to reverse engineer, scrape, or misuse the platform.

7. AI and Automation Disclaimer

Bookyn uses artificial intelligence to draft messages on your behalf. These AI-generated drafts are intended to assist you, not replace your judgement. You remain fully responsible for any messages sent from your Instagram account, whether AI-drafted or manually composed. Bookyn does not guarantee that AI-generated content will always be accurate, appropriate, or effective. We recommend reviewing AI drafts before sending, particularly for sensitive conversations.

8. Data Accuracy and User Control

While we strive to maintain accurate lead data and conversation records, Bookyn does not guarantee the accuracy, completeness, or timeliness of any data processed through the platform. You are responsible for verifying the accuracy of any lead information and for maintaining appropriate records in accordance with your own business practices.

9. Fees and Payments

Access to Bookyn is provided on a subscription basis. Fees are charged in advance on a monthly or annual basis and are non-refundable except where required by law. We reserve the right to change our pricing with 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

10. Intellectual Property

All intellectual property in the Bookyn platform, including software, designs, algorithms, and documentation, remains the exclusive property of Dcruz Group trading as Bookyn. You are granted a limited, non-exclusive, non-transferable licence to use the Service for the duration of your subscription. You may not copy, modify, distribute, or create derivative works from our platform without prior written consent.

11. Termination

Either party may terminate this agreement at any time. You may cancel your subscription through your account settings. We may suspend or terminate your access if you breach these Terms, violate Meta's policies, engage in harmful conduct, or fail to pay applicable fees. Upon termination, your data will be handled in accordance with our Privacy Policy. We will provide at least 14 days' notice before terminating accounts in good standing, except where immediate termination is necessary to prevent harm or comply with legal requirements.

12. Limitation of Liability

To the maximum extent permitted by law, Bookyn and Dcruz Group shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising from your use of the Service. Our total liability for any claim arising from your use of Bookyn shall not exceed the total fees paid by you in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless Bookyn and Dcruz Group from and against any claims, liabilities, damages, losses, and expenses arising from your use of the Service, your violation of these Terms, your violation of any third-party rights including Meta's Platform Policies, or any content you send through the platform.

14. Changes to the Service

We may modify, suspend, or discontinue any aspect of the Service at any time. We will provide reasonable notice of material changes where possible. Continued use of the Service after such changes constitutes your acceptance.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of significant changes by email or through the platform. Your continued use of Bookyn after the effective date of any changes constitutes acceptance of the updated Terms.

16. Governing Law

These Terms are governed by the laws of Queensland, Australia. Any disputes arising from these Terms or your use of Bookyn will be resolved in the courts of Queensland, Australia, and you consent to the exclusive jurisdiction of those courts.

17. Relationship with Meta Platforms

Bookyn is an independent service and is not affiliated with, endorsed by, or sponsored by Meta Platforms, Inc. Our use of Instagram's API is subject to Meta's Platform Terms. We comply with Meta's data use restrictions and do not use Instagram data for purposes beyond those disclosed to users and approved by Meta.
